I could do it, and have done it (at times with a way shorter window and little or no rehearsals). It's absolutely feasible, but it is a lot of work. Is it worth it to you? I have no idea 
If there's a future in this project, or you really enjoy it, or there's a decent payday (or preferably all of those
), then go for it. Listen to the tunes a lot, make yourself charts as needed, it's totally doable.

I've come close. There's a local legend here who has a concept album about what it was like to grow up Protestant in northern Ireland. I'd opened for him once or twice, so heard the songs.
One Tuesday he calls me and my bandleader. "My bassist and guitarist are sick. Help me play my show Friday!"
So I found his album on YouTube and streamed it for 3 days. Put about three hours at night into boxing out the chord changes.
It was rock. 5 chords or less. I made it through the show without humiliating either myself or the artist.
Keep in mind in the jazz world...unless you can play a realbook tune at a moments notice that's called on the bandstand at a pickup gig, you won't get called back...

I can only imagine that the OP is in the process of learning 40 new tunes since there’s been no response from him since the original post. 
All I can say, is good luck, that’s a lot of work for anyone and hope your skills are up to prepping for a “3hr opener?” in less than a week. Takes good notes

Most openers only do a 40 min set no?
40 songs is enough for a complete gig with no opener! Do they know what they are doing? I think I’d be saying sorry but I don’t want to take on an unreasonable task unless I get paid enough to cover the weeks work I’m going to loose

I was happier than a pig in ^&*&^* just to be in a band
that did more than play in a basement, garage , etc
It wasn't an easy thing to do Learning those 40 songs in 6 days , even the band didn't think I would be ready to play an entire show.
It was my first band, first show , maybe,

If the band was musically good and fun guys to be around and an interesting project
